NAWA's Terms of Service

Welcome to NAWA ("Platform" or "App").

These Terms of Service are written in English (US), and by using NAWA, you agree to these terms.

This agreement is made between the NAWA team (the owner and operator of NAWA) and you ("You" or "User") as a user of the NAWA client and content (collectively referred to as NAWA client and content). NAWA has a zero-tolerance policy towards any offensive content or abuse of users. If you do not agree with any part of these terms, you must not use this service.

NAWA Services
These Terms of Service apply to all users of NAWA services. Status information provided by NAWA may contain links to third-party websites that NAWA does not own or control. NAWA is not responsible for the content, privacy policies, or practices of these third-party websites. Furthermore, NAWA will not review or edit any content from third-party websites. By using this service, you acknowledge and agree that NAWA is not liable for any damages, claims, or other liabilities arising from your use of any third-party website.

Access to NAWA
Subject to your compliance with these Terms of Service, NAWA grants you permission to use the service provided that:

(1) your use of the service is for personal, non-commercial purposes only;

(2) you may not copy, transfer, grant access to, duplicate, or distribute any part of the service without NAWA's prior written consent;

(3) you may not attempt to reverse engineer, alter, or modify any part of the service;

(4) you will comply with the terms and conditions of these Terms of Service.

To access and use the service's features, you acknowledge and agree that you need to provide NAWA with your phone number, as well as the phone numbers of any third parties you wish to use the service with. When providing phone numbers, you must provide accurate and complete information. You expressly agree that NAWA may use the phone numbers you provide to facilitate access to and use of the service. You may not use someone else's phone number without their permission. You are fully responsible for the status messages displayed on your phone number. You must promptly notify NAWA of any security breaches or unauthorized use.

While NAWA is not responsible for losses due to unauthorized use, you may be liable for losses incurred by NAWA or others due to such unauthorized use.

Intellectual Property

The design of the NAWA services and all text, scripts, graphics, interactive features, etc., related to NAWA services (collectively referred to as "NAWA Client and Content"), along with trademarks, service marks, and logos contained therein ("Trademarks"), are owned or licensed by NAWA and are protected by copyright and other intellectual property laws of the Republic of Seychelles and international treaties. Under these Terms of Service, you receive a limited, personal, non-exclusive, non-transferable, revocable license to use the NAWA Client and Content solely in connection with the service for personal, non-commercial purposes. The service, including the NAWA Client and Content, is provided to you on an "as is" basis for your personal non-commercial use. NAWA reserves all rights not expressly granted in these Terms of Service. You agree not to use, copy, distribute, or develop the NAWA Client and Content in any manner not expressly permitted by these terms, including any use, copying, or distribution of third-party user status submissions obtained through the service for commercial purposes. You further agree not to use the NAWA Client and Content in a manner that infringes or violates any third-party rights, and we bear no liability for any such use by you.

Sensitive Information and Feedback
1.NAWA has a zero-tolerance policy for any offensive content or user abuse.
2.NAWA administrators have the right to monitor and investigate. Users can report any abusive, suspicious, or inappropriate online behavior immediately. Depending on the severity of the behavior, user accounts may be banned.
3.To prevent harassment, users have the right to kick out and blacklist other users.

User Status Submissions
1.NAWA services allow you and other users to submit status text and other communications ("User Status Submissions") and to host, share, and/or publish these User Status Submissions. As stated in the following sections, you retain all rights to your User Status Submissions. You understand that NAWA does not guarantee the confidentiality of any submissions, whether or not they are published.
2.You are solely responsible for your User Status Submissions and the consequences of their publication or posting. As NAWA is merely a repository of data, user-submitted statuses do not necessarily represent the views or opinions of NAWA, and NAWA makes no guarantees regarding the validity, accuracy, or legal status of any status. Regarding User Status Submissions, you represent, warrant, or guarantee that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize NAWA to use all patents, trademarks, trade secrets, copyrights, or other proprietary rights associated with any and all User Status Submissions in the manner contemplated by the service and these Terms of Service; and (ii) you have obtained written consent, release, and/or permission from each identifiable individual in the User Status Submission to use that individual's name or likeness in the manner contemplated by the service and these Terms of Service. Specifically, you retain all rights to your User Status Submissions, but you must first hold those rights. However, by submitting User Status Submissions to NAWA, you grant NAWA a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, prepare derivative works, display, and perform User Status Submissions in connection with the NAWA services and the business of NAWA (and its successors), including but not limited to the promotion and redistribution of part or all of the NAWA services (and its derivative works) in any media format and through any media channels. You also grant each user who subscribes to your status on the NAWA service a non-exclusive license to access your User Status Submissions via the service, email, and mobile, and to display portions of User Status Submissions according to the features of the service and these Terms of Service. The licenses granted above terminate when you remove or delete your User Status Submissions from the NAWA service.

3.Regarding User Status Submissions, you further agree not to: (1) submit materials protected by copyright, trade secrets, or otherwise proprietary third-party rights (including privacy and publicity rights), unless you are the owner of those rights or have obtained the necessary permissions from the lawful owner to publish that material and grant all licenses herein to NAWA; (2) post false information or misleading statements that may harm NAWA or any third party; (3) submit illegal, obscene, defamatory, slanderous, threatening, harassing, hateful, racially or ethnically offensive material, or encourage conduct that is considered a crime, leads to civil liability, violates any law, or is otherwise inappropriate; (4) post advertisements or commercial requests; (5) impersonate others; (6) send or store materials that contain software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs; (7) interfere with or disrupt the integrity or performance of the service or data therein; (8) attempt to gain unauthorized access to the service or its related systems or networks.

4.Adult content must be labeled as such. NAWA does not endorse any User Status Submissions or any opinions, advice, or recommendations expressed therein and expressly disclaims any and all liability for User Status Submissions. NAWA does not permit copyright infringement or intellectual property infringement through its services, and if notified appropriately that such content or User Status Submissions infringe on someone else's intellectual property, NAWA will remove all such content and User Status Submissions. NAWA reserves the right to remove content and User Status Submissions without prior notice. If a user is found to be a repeat infringer, NAWA may terminate that user's access to its services for any or no reason, including annoyance. A repeat infringer is defined as a user who has been notified of infringing activity more than once and/or whose User Status Submissions have been removed from the site more than twice. An annoying person is defined as anyone deemed annoying by NAWA's authorized employees, agents, sub-agents, or super agents (whether intentionally or unintentionally). NAWA also reserves the right to determine whether content or User Status Submissions are appropriate and comply with these Terms of Service, addressing violations beyond copyright infringement and intellectual property law, such as excessive length or limited interest. NAWA may remove such User Status Submissions and/or terminate users' access for uploading such materials due to violations of these Terms of Service at any time at its sole discretion.

5.You understand that when using NAWA services, you may encounter User Status Submissions from various sources, for which NAWA assumes no responsibility for the accuracy, usefulness, safety, or intellectual property rights, and these User Status Submissions do not belong to NAWA. You further understand and acknowledge that you may encounter User Status Submissions that are inaccurate, offensive, obscene, or otherwise objectionable, and you agree to waive, and hereby waive, any legal or equitable rights or remedies you may have against NAWA, and agree to indemnify and hold harmless NAWA, its owners/operators, affiliates, and/or licensors from all claims arising from your use of the site.

6.NAWA allows you to link to materials on the service solely for personal, non-commercial purposes. Commercial versions are available under separate licenses and terms. NAWA reserves the right to discontinue any aspect of the NAWA service at any time. You agree that your use of the NAWA service is at your own risk. To the maximum extent permitted by law, NAWA and its officers, directors, employees, and agents expressly disclaim all warranties, express or implied, related to the service and your use thereof. NAWA makes no guarantee regarding the accuracy or completeness of the content of this service and is not liable for any (I) errors, mistakes, or inaccuracies of content, (II) personal injury or property damage resulting from your access and use of our services, (III) unauthorized access or use of our secure servers and/or any personal information and/or financial information stored therein, (IV) any interruption or cessation of transmission to or from our services, (V) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services by any third party, and/or (VI) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, transmitted, or otherwise made available through the NAWA services. NAWA does not make any warranties, endorsements, guarantees, or assumes any liability for third-party products or services advertised or provided through the NAWA services or any hyperlinked websites, and NAWA is not responsible for any transactions between you and third-party product or service providers. As with any purchase of products or services through any medium or in any environment, you should exercise your best judgment and caution where appropriate. Once again, use of this service is for entertainment purposes only.

Limitation of Liability
In no event shall NAWA or its officers, directors, employees, or agents be liable to you for (1) errors, mistakes, or inaccuracies of content, (2) personal injury or property damage of any kind resulting from your access to and use of our services, (3) unauthorized access to or use of our secure servers and/or any personal information and/or financial information stored therein, (IV) any interruption or cessation of transmission to or from our servers, (V) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services by any third party, and/or (VI) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, transmitted, or otherwise made available through the NAWA client and content, whether based on warranty, contract, tort, or any other legal theory, whether or not the company was advised of the possibility of such damage. The foregoing limitation of liability shall apply to the maximum extent permitted by applicable law. You expressly acknowledge that NAWA is not liable for any defamatory, offensive, or illegal conduct of users or third parties, and that the risk of damage from the foregoing rests entirely with you. You agree not to use the product while operating a motor vehicle, handling time-sensitive or emergency services or events, or any operation that may result in injury, death, or economic damage. NAWA does not represent that the NAWA services are appropriate or available for use in all locations. Individuals accessing NAWA from other jurisdictions do so voluntarily and are responsible for compliance with local laws.

Indemnification
You agree to defend, indemnify, and hold harmless NAWA and its parent company, officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, or debts and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the NAWA services; (ii) your violation of any part of these Terms of Service; (iii) your violation of any third-party rights, including but not limited to any copyright, property, or privacy rights; or (iv) any claim that your User Status Submission caused damage to a third party. This indemnification obligation will survive the termination of these Terms of Service and your use of the NAWA services. We do not endorse or encourage illegal consumption of alcohol or tobacco.

Assignment
These Terms of Service and any rights and licenses granted hereunder may not be transferred or assigned by you, but NAWA may assign them without restriction.

General Terms
You agree that: (i) the NAWA services shall be considered a passive service and will not give rise to personal jurisdiction over NAWA; (ii) you agree to submit to the jurisdiction of the Republic of Seychelles, without regard to its conflict of law principles. Any claim or dispute between you and NAWA arising out of or relating to the NAWA services shall be exclusively decided by a court of competent jurisdiction located in the Republic of Seychelles. The privacy policy and any other legal notices published by NAWA constitute the entire agreement between you and NAWA regarding the NAWA services. If any provision of these Terms of Service is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms of Service will remain in full force and effect. Waiver of any term of these Terms of Service shall not be deemed a further or continuing waiver of such term or any other term, and NAWA's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. NAWA reserves the right to modify or change these Terms of Service at any time, and it is your responsibility to review these Terms of Service periodically for any changes. Your use of the NAWA services following any changes to these Terms of Service will signify your acceptance of those changes. You and NAWA agree that any lawsuit arising from these Terms of Service must be filed within one (1) year after the claim arose or it will be permanently barred.

Governing Law
These Terms of Service and any separate agreements we provide to you shall be governed by and construed in accordance with the laws of the Republic of Seychelles.
